Governance Associate Director

    1. Job Summary:

    This role involves working closely with the Company Secretary to ensure the bank and its subsidiaries in Vietnam comply with the Group Subsidiary Governance Policy and local legal, statutory, and regulatory requirements. Key responsibilities include:

    • Supporting the organization and operation of Board and Board Committee meetings.
    • Managing director appointments and removals, and providing support throughout the appointment process.
    • Handling matters related to corporate structure, corporate authority, powers of attorney, and issues requiring Owner or Board approval.
    • Maintaining statutory records in accordance with both Group policies and local regulations.
    • Keeping internal documents, including blueprints and SharePoint files, updated and compliant.

    Accountabilities:

    • Ensuring the bank’s corporate governance framework aligns with both Group and local regulatory standards.
    • Facilitating the smooth operation of the Board and Board Committees.
    • Providing timely and effective support to directors.
    • Delivering accurate and well-prepared meeting materials, minutes, terms of reference, regulatory reports, and other documents handled by the Company Secretary.

    2. Requirements 

    • 10-15 years of experience, with at least 8 years working with banking governance and regulations
