Legal Assistant Manager

    Key Responsibilities

    Business Legal Affairs

    • Oversee the full contracting process, including drafting, reviewing, and negotiating agreements such as PPAs, leasing agreements, MOUs, JV agreements, construction contracts, and service agreements.
    • Conduct legal research and provide practical advice to support business development, commercial decisions, greenfield projects, joint ventures, and M&A activities.
    • Identify and evaluate regulatory and operational risks, particularly within regulated industries.
    • Review business plans, internal policies, and external materials to ensure compliance with applicable laws and regulations.

    Corporate and Licensing Matters

    • Coordinate investment registration applications for new project phases, amendments to enterprise registrations, and other required licenses or permits, while liaising with relevant authorities when necessary.
    • Work with external legal advisors on specialized matters.
    • Manage corporate governance documentation, internal approval procedures, and company secretarial tasks for assigned entities and projects.

    Compliance and Dispute Management

    • Monitor and analyze regulatory developments related to the company’s business operations.
    • Assist in dispute resolution processes and coordinate with external counsel when required.
    • Support the development and implementation of internal compliance policies and procedures.

    Organizational Contribution

    • Assist in strengthening and developing the legal function within the organization.
    • Provide guidance and mentorship to junior team members when assigned.
    • Contribute to internal knowledge sharing and legal awareness initiatives.

    Job Requirements

    Education and Experience

    • Bachelor’s degree in Law; a lawyer practicing certificate is an advantage.
    • Minimum of 5 years of experience at a reputable law firm or as in house counsel.
    • Strong understanding of Vietnamese laws related to corporate, investment, commercial, and M&A matters.
    • Experience in renewable energy, real estate, or logistics sectors is highly preferred.
    • Strong English communication skills, both written and spoken.
